Terms of Service
This Agreement for home staging services (the “Property”) is between Property owner and/or Property listing agent (the “Client”), and Ontario-registered business, Katie Walker Interiors Inc., doing business as "Katie Walker Interiors" (“Staging Company”).
1. Term
This Agreement is effective as of The Date of Installation ("Staging Date") for a thirty (30)-day Term (the "Term"), or until the Property sells, whichever is sooner ("Term End Date"). The Term may be extended for an additional thirty (30) days at a time. Upon end of term, client agrees to release the items within 12 hours. Any additional days beyond the term are subject to a daily rental fee. Once the pickup is scheduled, we reserve the right to pick the items up at any point beyond end of the term, even if a later date was previously agreed upon.2. Description of Services
Subject to the terms and conditions of this Agreement, Staging Company agrees to provide home staging services at the Property, including and limited to furniture arrangement with furnishings, accessories and props rented by Client, for the purposes of staging the Property ("Staging Services").
3. Payment
Client will pay to Staging Company the agreed upon amount ("Payment") for the Staging Services, which includes rental fees and delivery fees, Fifty Percent (50%) of which is due upon signing this Agreement, with the remaining balance due twenty four (24) hours prior to Staging Date.
All deposits are non-refundable.
If Staging Services are required past the end of the thirty (30)-day term, rental fees (Payment minus installation and delivery fees) will be applied to credit card, or paid via cash, cheque or e-transfer, 4 days prior to the end of the Term. If payment for renewal is not rendered within 4 days prior to the expiration of the term, the credit card on file will be charged a daily rental fee plus a 20% late payment charge or an automatic pick up will be scheduled for the next available business day following the term. Client will be responsible for authorizing access as per 4.0
The Staging must be approved by the client within 24 hours. Following the 24 hour approval period, if the client requests any revisions, the client will be charged for the cost of delivery plus the cost of any additional items added to the property.
4. Access
It is the sole responsibility of the Client to ensure access is granted to property, elevators, loading docks and other areas needed to move on the specified Term End Date. Client will be responsible to pay rental fees for any additional days past the Term End Date.
Client hereby grants to Staging Company and its employees, agents, independent contractors and suppliers, permission to enter upon and use the Property for the purpose of providing Staging Services listed above, beginning on Staging Date and continuing until rental term is completed.
If client fails to provide access to the property in such a way that it prohibits the staging from being installed or retrieved on the agreed upon dates, the client will be subject to cancellation fees, see 10.0
5. Personal Belongings
Client agrees to protect any and all valuables in or around the Property by removing them to safe storage before Staging Date. Any remaining items, if damaged, are not the responsibility of Staging Company.
Client acknowledges and agrees that Client’s belongings may be moved from room to room, or rearranged, or removed for storage (in the garage or off-site) at the sole discretion of Staging Company. Client further acknowledges and agrees that Staging Company may use nails or other similar materials to hang or display accessories as part of the Staging Services.
Client hereby grants permission to Staging Company for anything on the Property (both interior and exterior) to be moved or rearranged inside or outside, including furniture or items from cupboards, pantries, closets, drawers, and the like as Staging Company deems necessary, in its sole discretion, to prepare the Property for sale. Katie Walker Interiors is not liable for any damages that may occur to any items left on the property. If there are items on the property that carry sentimental value or otherwise, and you would not like them moved, please specify in writing.
6 . Preparedness of the Installation Site
All contractors acting on behalf of the stager are responsible exclusively for the packing, storing, moving only for the agreed upon rental items. No contractor acting on behalf of the stager will ever be required to move personal belongings of the homeowner without prior, written agreement. The Staging Company reserves the right to request items to be moved as per section 5 of this agreement.
The staging company is not responsible for any packing, storing, moving or arranging of any of the homeowners personal items unless explicitly agreed upon in writing.
The staging company is never responsible for any cleaning services or decluttering services of any sort.
Any recommendations to:
-move home owners personal items
-secure other general contracting services including but not limited to painting
-secure cleaning services
Must be arranged at home owners personal expense. In the event of failure to complete any of the recommendations issued ahead of the installation date the staging company maintains the right to revise the quote and agreement without penalty.
It is the sole responsibility of the homeowner or agent acting on behalf of the homeowner to secure unobstructed access to the installation site including but not limited to:
Service Elevators
Loading Docks
Accessible Parking for All Necessary Delivery Vehicles
Access Codes
Building Keys
Any fees or deposits associated with providing access to the installation site are the sole responsibility of the homeowner or agent acting on behalf of the homeowner.
All agreements regarding access to the installation site are between the homeowner and any applicable building or property management.
7. Release & Waiver
Assumption of Risk
Client acknowledges and agrees that installation of mirrors, artwork, wall hangings and other furnishings during the Staging process may require hooks and/or nails to be placed in the walls of the property. Upon removal, small holes will be left. Staging Company will do its best to fill all holes, but any touch up work or paint is the responsibility of the Client.
Limitation of Liability
CLIENT HEREBY AGREES THAT IN NO EVENT SHALL Katie Walker Interiors Inc., ITS OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS AND/OR SUPPLIERS BE LIABLE FOR ANYTHING UNDER THIS AGREEMENT.
Katie Walker Interiors is not responsible for any damage to elevators, property or personal effects. Third party moving company ("Movers") are a separate business entity from the Staging Company and any damage caused by Movers will be dealt with by Movers' liability insurance.
Client understands that Staging Company does not, and cannot, guarantee success or any particular result. While Staging Company shall use best professional efforts to achieve a successful result, Staging Company can make no warranty or guarantee expressed or implied as to the successful sale of the Property in Client's favour. An expression of the relative merits of the Property and Client's chances of success are only expressions of opinion and estimates.
Home Staging is a marketing tool to prepare a home for sale. This is not a home warranty, assessment, appraisal, guarantee expressed or implied, insurance policy or substitute for real estate transfer disclosures, which may be required by law.
Photography & Publicity Release
Client agrees to allow Katie Walker Interiors to photograph staged areas of the Property before and after the work is completed and the client authorizes use of all such photographs for reference and marketing purposes. Client’s name will not be referenced.
9. Damages to Rental Property
Client is responsible for any damage incurred on any of the Stagers property installed during the rental period, including any renewal terms. All furniture items are for aesthetic purposes only and are not meant for regular use.
Damages include, but are not limited to:
Stains
Breakage from Dropping or hitting
Scratches
Tears or pulls in upholstery
Insects
Pet hair, odour, scratches, pulls or staining
Cigarette, Cigar or Marijuana scent, burns or staining
Liquid damage or staining
Client may be asked to sign a credit card authorization that shall be considered a Security Deposit against potential damage to the property. Such authorization will be used if an alternate settlement cannot be arranged.
10. Cancellation Fees
Any request to cancel the staging services must be made 48 hours in advance. All cancellations requested by the client will be subject to a non-refundable cancellation fee of $999.
Insurance
Client is encouraged to obtain and/or maintain his or her own personal property
loss insurance.
This Agreement shall be governed by the laws of Ontario, Canada.
All attachments and exhibits referred to in this Agreement are incorporated herein by reference. See Original Invoice/Quote.
Ownership of the Property:
Client warrants that Client is the owner or agent of record of the Property and has the right and authority to make and enter into this Agreement and to grant the rights set forth herein. Client acknowledges and agrees that no other authorization is necessary to enable Staging Company to use the Property for the purposes herein contemplated.
